Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of apps and services provided by Paul Inglis, trading as SIMPOL Staging ("we", "us", "our"), including Show Timer, PocketCue, PocketCue Console, and any future SIMPOL applications (collectively, "the Services").
By accessing or using the Services, you confirm that you are at least 13 years old, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, please do not use the Services.
2. Description of Services
SIMPOL provides professional tools for live events and theatre productions. Depending on the app, the Services are provided via web browsers, as downloadable native mobile apps (Android and iOS), or both — each app's own store listing describes how it works. Some apps require an internet connection; others (such as PocketCue) are designed to work fully offline over your local network and need no internet connection to function at all.
For apps distributed as downloadable software (e.g. via Google Play or the Apple App Store), we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, solely for its intended purpose and subject to these Terms. Your download, purchase, and use of these apps is also governed by the applicable app store's own terms of service.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
3. User Accounts
Some apps offer optional features that require you to create an account or sign in via a third-party provider (e.g. Google). Apps that don't offer accounts (e.g. PocketCue) have none of the account-related terms in this section. Where an account is offered, you are responsible for:
- Keeping your account credentials confidential.
- All activity that occurs under your account.
- Notifying us immediately at apps@simpol.co.uk if you suspect unauthorised access.
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree to use the Services only for lawful purposes. You must not:
- Use the Services in any way that violates applicable laws or regulations.
- Attempt to gain unauthorised access to our systems or other users' accounts.
- Interfere with or disrupt the Services or their servers.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Use automated scripts or bots to access the Services without our prior written consent.
- Upload or transmit any content that is harmful, offensive, or infringes third-party rights.
5. Your Content
Any show data, cue lists, timing records, or other content you create within the Services ("Your Content") remains yours. By using the Services, you grant us a limited licence to store and process Your Content solely to provide the Services to you.
We do not claim ownership of Your Content and will not share it with third parties except as necessary to operate the Services or as required by law.
6. Intellectual Property
The Services, including all software, design, text, graphics, and trademarks, are owned by or licensed to SIMPOL Staging and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our name, logo, or other proprietary materials without our prior written consent.
7. Third-Party Services
The Services may integrate with or link to third-party services (e.g. Google Sign-In). These third-party services are governed by their own terms and privacy policies, and we are not responsible for their content or practices.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
Given the professional context of our apps, we strongly recommend maintaining your own backup timing procedures during live productions. We accept no liability for show disruptions resulting from technical failures of the Services.
9. Limitation of Liability
To the fullest extent permitted by applicable law, SIMPOL Staging shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Services — including but not limited to loss of data, revenue, or goodwill.
Our total aggregate liability to you for any claim arising from these Terms or the Services shall not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) £50.
10. Indemnification
You agree to indemnify and hold harmless SIMPOL Staging and its operators from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services or your violation of these Terms.
11. Termination
You may stop using the Services at any time. We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice.
Upon termination, provisions that by their nature should survive will survive, including Sections 6, 8, 9, 10, and 12.
12. Governing Law & Disputes
These Terms are governed by the laws of Scotland and the United Kingdom. Any disputes arising from these Terms or the Services shall be subject to the non-exclusive jurisdiction of the courts of Scotland. Nothing in these Terms limits your rights under mandatory consumer protection laws that apply in your country of residence.
If you are based in the European Economic Area (EEA), you may also have the right to bring a claim before the courts of your country of residence under EU consumer law.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice in the app or emailing your registered address. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
